Terms

Terms of use

This English version is provided for convenience. If there is any difference, the French version prevails.

Last updated: October 15, 2026

These terms apply to the use of the Axlo software, offered online at app.axlo.ca and in the client portal (together, the “service”), by a client company (the “client”) and by the people to whom it gives access (the “users”). An agreement signed with the client, if there is one, takes precedence over these terms.

1. Access to the service

For the duration of its subscription, Axlo grants the client a non-exclusive, non-transferable right to use the service for its own operations. The software, its code and its brand remain the property of Axlo.

2. Accounts and security

The client creates and manages its users’ accounts and chooses their access. Each user keeps their password confidential. Two-factor authentication is mandatory for administrators. The client notifies Axlo without delay of any unauthorized access it becomes aware of.

3. Client data

The data entered in the service belongs to the client. Axlo hosts it in Canada, backs it up regularly and processes it only to provide, maintain and support the service. The client can export its data at any time. Axlo staff access a database only for support or onboarding, and every access is logged. The handling of personal information is described in the privacy policy.

4. Acceptable use

The client agrees not to use the service for illegal purposes, not to attempt to bypass its security, copy it or resell it, and not to put in it any content it does not have the right to. The client remains responsible for the accuracy of its data, including its invoices, its taxes and its regulatory records (preventive maintenance, pre-trip inspections).

5. Integrations (QuickBooks Online)

If the client connects a third-party service, such as Intuit’s QuickBooks Online, it authorizes Axlo to send it the information needed for the integration (for example, its invoices, clients and payments). The third-party service is governed by its own terms. The client checks what is sent to its accounting and can disconnect the integration at any time. Axlo is not responsible for interruptions of, or changes to, third-party services.

6. Subscription and payment

The prices, commitment period and onboarding fees are those set out in the quote accepted by the client. The subscription is billed at the start of each month, plus applicable taxes. An account left unpaid after notice may be suspended.

7. Availability and support

Axlo makes reasonable efforts to keep the service available at all times, except during updates and maintenance, which are done outside normal business hours as much as possible. Support is offered by email at info@axlo.ca.

8. Warranty and liability

The service is provided “as is”. Axlo does not guarantee that it will be free of all errors. To the extent permitted by law, Axlo is not liable for indirect damages (loss of profits, data or business opportunities), and its total liability is limited to the amounts paid by the client for the service during the 12 months preceding the event. Nothing in these terms limits any rights that the law does not allow to be limited.

9. End of the subscription

The client can end its subscription according to the commitment set out in its quote. At the end, the client can export its data for 30 days; it is then deleted from our servers, except for backup copies, which are erased according to their normal cycle.

10. Changes

Axlo may change these terms. Clients are notified at least 30 days before a significant change takes effect. The date of the last update is shown at the top of the page.

11. Governing law

These terms are governed by the laws of Québec and the laws of Canada that apply there. Any dispute falls under the jurisdiction of the courts of Québec.
